What types of documents require a qualified electronic signature?

Under the eIDAS regulation, electronic signatures are legally valid for all commercial documents. However, certain specific cases require the use of a qualified electronic signature:

  • Consumer credit contracts: in accordance with Article VII.78 of the Code of Economic Law.
  • Employment contracts: in accordance with Article 3bis of the Law on employment contracts.
  • Contracts requiring legal intervention: involving courts, public authorities or regulated professions (e.g. notaries) as well as documents to be filed with official bodies (court clerks, notaries public, banks, etc.) in accordance with Article 8.15 of the Civil Code (Authentic Instruments).
  • Official forms: such as tax returns and applications to public authorities.
  • Formation and amendment of articles of association: for certain types of company (SRL, SC, SA, European companies and European cooperatives).
  • Connection to government e-services: such as My eBox or MyMinFin.
  • Merger minutes: at approval meetings, in accordance with Article 12:50 of the Companies and Associations Code.
  • Documents relating to insolvency proceedings: pursuant to Book XX of the Code of Economic Law.

These cases illustrate the importance of a qualified electronic signature in guaranteeing compliance and legal certainty.
